1. Acceptance of Terms
By accessing or using the Orion Network platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
2. Authorized Use
The Platform is intended for use by authorized employees, contractors, and clients of Orion Network LLC. Access credentials are personal and non-transferable. You are responsible for maintaining the confidentiality of your account and password, and for all activity that occurs under your account. Notify us promptly if you believe your credentials have been compromised.
3. Acceptable Use
You agree not to misuse the Platform. This includes, but is not limited to: attempting unauthorized access to other accounts or systems, interfering with the Platform's operation, uploading malicious content, or using the Platform for any unlawful purpose.
4. Intellectual Property
All content, features, and functionality of the Platform are owned by Orion Network LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.
5. Data and Content
You retain ownership of any data you submit to the Platform. By using the Platform, you grant Orion Network LLC a limited license to store, process, and display your data solely for the purpose of providing the Platform's services. Our handling of personal information is described in our Privacy Policy.
6. Confidentiality
Each party may receive non-public information belonging to the other in the course of using or providing the Platform. Confidential information will be used only as necessary to provide or use the Platform, and will not be disclosed to third parties except to service providers bound by comparable obligations, or as required by law. Where a separate written agreement between you and Orion Network LLC addresses confidentiality, that agreement controls.
7. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Orion Network LLC does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
8. Limitation of Liability
To the maximum extent permitted by law, Orion Network LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Platform. To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Platform will not exceed the amounts you paid to Orion Network LLC for the Platform in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100) if no such amounts were paid. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless Orion Network LLC and its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Platform, your violation of these Terms, or your violation of any applicable law or third-party right.
10. Termination
Orion Network LLC reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Sections addressing intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.
11. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Lafayette Parish, Louisiana, and each party consents to the personal jurisdiction of those courts.
12. Changes to Terms
Orion Network LLC reserves the right to modify these Terms at any time. When we do, we will revise the "Last updated" date above. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
13. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Where you and Orion Network LLC have signed a separate written agreement covering the same subject matter, that agreement controls to the extent of any conflict; otherwise these Terms are the entire agreement between us regarding the Platform.
